Terms of Service

1. Acceptance
By accessing or using Magicbridge ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. Use on behalf of an organization means you bind that organization to these Terms.
2. Changes to Terms
We may modify these Terms at any time by posting an updated version. Your continued use of the Service after any modification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By using the Service, you represent that you meet these requirements.
4. License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. You may not sublicense, resell, or otherwise exploit the Service commercially without our prior written consent.
5. Your Data and License Grant
You retain ownership of data you submit to the Service. By submitting data, you grant us a worldwide, royalty-free, perpetual license to use, reproduce, process, adapt, and display that data to operate, improve, and develop the Service. We may use anonymized and aggregated data derived from your use for any lawful purpose without restriction.
6. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service or its related systems; (c) interfere with or disrupt the Service or servers connected to it; (d) reverse-engineer, decompile, or disassemble any part of the Service; or (e) use the Service to transmit harmful, offensive, or infringing content.
7. Third-Party Integrations
The Service connects with third-party platforms. We do not control and are not responsible for those platforms, their availability, or their terms. Your use of third-party integrations is at your own risk and subject to those platforms' terms.
8. Fees and Payment
Fees for paid plans are stated at the time of purchase. We may change fees at any time with notice. All fees are non-refundable except as required by law. Failure to pay may result in suspension or termination of your account.
9. Suspension and Termination
We may suspend or terminate your access to the Service at any time, for any reason, with or without notice, including for violation of these Terms. Upon termination, your license ends immediately. We have no obligation to retain your data after termination.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Magicbridge and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Dispute Resolution and Arbitration
Any dispute arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration under the rules of a recognized arbitration body, and not in a court of law. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Nothing in this section prevents either party from seeking injunctive relief in a court for intellectual property infringement.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any arbitration or permitted court proceeding shall take place in Delaware.
15. Miscellaneous
These Terms constitute the entire agreement between you and Magicbridge regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them freely.
